Terms of Service

These Terms of Service (“Terms”) govern your participation as a sponsor on KowpokeSponsors.com and the related postcard mailings (together, the “Services”). The Services are operated by Kowpoke, LLC, 3161 John Deere St, Bozeman, MT 59718, (406) 551-0261 (“Kowpoke,” “we,” “us,” or “our”). By signing up as a sponsor, you agree to these Terms.

1) Plans & Pricing

• Web-Only — $299/month: Your business listing and one primary offer are featured on the website.
• Mail + Web — $599/month: All Web-Only benefits plus postcard placement in both monthly mailings (targeted on/around the 1st and 15th).

Pricing may be modified prospectively with notice. Changes take effect at your next renewal unless you cancel before renewal.

2) Postcard Production & Schedule

For Mail + Web sponsors, postcards are planned to mail twice monthly, on or about the 1st and 15th. Mailing dates may shift due to design approvals, print timelines, USPS processing, and holidays. If materials are late or unapproved, we may move your placement to the next available mailing.

3) Creative Materials & Approvals

• You provide logo, offer text, disclaimers, brand colors, and any required legal disclosures. You represent you own or have rights to use all submitted content.
• We may edit for length, legibility, or formatting. You will receive a proof for approval when time allows; if you do not respond by the stated deadline, we may (a) run the latest approved creative, (b) use edited copy that fits the space, or (c) roll you to the following mailing.
• You are responsible for the accuracy of prices, offers, dates, and disclaimers. Post-approval changes are not guaranteed.

4) Placement & Availability

Website and postcard placements are curated for balance and reading flow. Exact order, size, and position are not guaranteed. We may limit categories to avoid consumer confusion. Downtime from hosting, maintenance, or third parties may occur.

5) Payment, Billing & Cancellation

• Payments are processed by Square. By subscribing, you authorize recurring monthly charges until you cancel.
• Cancellation: Cancel any time before your next bill date to stop the next renewal. If you cancel after print production has started for an upcoming postcard cycle, that cycle’s charge may still apply.
• Refunds: Fees are generally non-refundable once production begins. If we fail to provide the website listing for more than 7 consecutive days (outside of your non-compliance), we may, at our discretion, credit or extend your term.

6) Compliance & Offers

You agree your offers comply with all applicable laws and rules (including alcohol, tobacco, healthcare, and pricing regulations). You are solely responsible for tax, coupon restrictions, and redemption terms. We may reject or remove content that is unlawful, misleading, infringing, or inappropriate.

7) SMS & Email

Residents may opt-in to receive deals by text or email. We honor STOP to opt-out and HELP for instructions where applicable. Sponsors must not upload third-party numbers to our system. Any direct texting you perform must follow the Telephone Consumer Protection Act (TCPA) and applicable carrier rules.

8) Intellectual Property & License

You retain all rights in your trademarks and creative assets. You grant Kowpoke a non-exclusive, worldwide, royalty-free license to use, reproduce, adapt, and display your submitted content solely to provide and promote the Services. Kowpoke materials (site design, layouts, copy) are our IP and may not be copied or reused without permission.

9) Testimonials & Case Studies

With your consent (which you may revoke at any time), we may cite your business name/logo and high-level results for marketing purposes.

10) Disclaimers

THE SERVICES ARE PROVIDED “AS IS.” WE DO NOT GUARANTEE SPECIFIC TRAFFIC, REDEMPTIONS, ROI, OR SALES. POSTAL DELIVERY TIMES AND WEBSITE UPTIME CAN VARY. TO THE MAXIMUM EXTENT PERMITTED BY LAW, WE DISCLAIM ALL WARRANTIES, EXPRESS OR IMPLIED.

11) Limitation of Liability

TO THE MAXIMUM EXTENT PERMITTED BY LAW, KOWPOKE’S TOTAL LIABILITY FOR ANY CLAIMS ARISING OUT OF OR RELATED TO THE SERVICES WILL NOT EXCEED THE FEES YOU PAID TO KOWPOKE IN THE THREE (3) MONTHS PRECEDING THE EVENT GIVING RISE TO THE CLAIM. IN NO EVENT WILL WE BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES.

12) Indemnification

You agree to defend, indemnify, and hold harmless Kowpoke from and against claims arising out of (a) your offers, content, or use of the Services; (b) alleged infringement or violation of law; or (c) your negligence or willful misconduct.

13) Force Majeure

We are not responsible for delays or failures caused by events beyond our reasonable control (e.g., acts of God, labor disputes, supply shortages, USPS or carrier delays, or Internet/hosting outages).

14) Governing Law & Venue (Montana)

These Terms are governed by the laws of the State of Montana, without regard to conflicts of laws. Exclusive venue lies in the state and federal courts located in or serving Gallatin County, Montana.

15) Changes

We may update these Terms prospectively by posting a revised version with a new “Last updated” date. If a change materially affects you, we will use reasonable efforts to notify you. Your continued use after the effective date constitutes acceptance.
